Client Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the Partanen Consulting Group platform (“we”, “us”, “our”) as a registered Client. By registering and using the services available at www.partanenconsulting.com (the “Website”), you agree to these Terms.

If you do not agree, please refrain from registering or using the platform.

1. Our Role

Partanen Consulting Group acts as an independent intermediary. We facilitate connections between Clients and vetted Consultants for freelance or permanent roles. We do not:

• Employ consultants;
  
• Guarantee availability or performance;
  
• Provide legal or contractual guarantees on behalf of either party.

2. Client Account and Access

To use our services:

• You must create an account and provide accurate, up-to-date information.
  
• We may manually review and approve your account for access to our consultant directory.
  
• You agree to maintain confidentiality of your login credentials and activity.

3. Consultant Discovery and Matching

As a client, you may:

• Submit requests for consultants based on your needs;
  
• Be matched with recommended consultants;
  
• Review non-sensitive consultant profile information.
  

You agree not to attempt direct contact with any consultant unless formally introduced or connected via our platform.

4. Engagement with Consultants

Depending on the arrangement:

• You may engage consultants directly or through Partanen Consulting Group.
  
• All terms of engagement (scope, rates, timeline, IP, etc.) must be defined in a separate contract between you and Partanen Consulting Group.
  
• You are responsible for verifying suitability and compliance of the consultant for your specific needs.

5. Fees and Payment

• Our platform may charge fees for recruitment, access, or managed services. These will be clearly communicated in advance.
  
• Payment terms for freelance projects handled by us are defined in our project proposal and invoice schedule.
  
• For permanent placements, we may charge a one-time recruitment fee, if agreed.

6. Use of Platform

You agree to:

• Use the Website only for lawful, professional purposes;
  
• Provide accurate project requirements and job descriptions;
  
• Refrain from bypassing our platform to hire consultants we introduced, without our consent (see Non-Circumvention).

7. Non-Circumvention

You agree that for a period of 12 months following the introduction of a consultant via our platform, you will not:

• Hire the consultant directly without our involvement;
  
• Refer the consultant to a third party for engagement;
  
• Circumvent our platform to avoid payment of any agreed or applicable fees.
  

Any breach may result in a back-fee equivalent to our standard placement or service fees.

8. Confidentiality

You may receive private consultant information or proposals. You agree to:

• Keep such information confidential;
  
• Not use it for purposes outside the scope of hiring via our platform;
  
• Not disclose details to competing platforms or agencies.

9. Liability and Disclaimer

While we vet consultants to the best of our ability, we do not guarantee:

• The outcome or success of any consultant engagement;
  
• The completeness, accuracy, or truthfulness of consultant profiles;
  
• That the services delivered by consultants will be error-free or uninterrupted.
  

We are not liable for any damages, losses, or disputes arising from consultant-client engagements, whether managed by us or not.

10. Termination

We reserve the right to suspend or terminate your access if:

• You breach these Terms;
  
• You use the platform abusively or unethically;
  
• You attempt to circumvent the platform’s processes or fees.
  

You may request account deletion at any time by emailing us.

11. Governing Law

These Terms are governed by the laws of Finland. Any disputes shall be subject to the exclusive jurisdiction of Finnish courts.

12. Amendments

We may update these Terms at any time. Material changes will be notified via email or on-site alerts. Continued use after updates constitutes acceptance.
